Detailed below are brief descriptions of work completed with clients. It serves to give you an idea of the range and type of work I undertake.

Starting a Business

For clients who were concerned about working with each other and the initial profitability of their business I prepared shareholders agreements and intellectual property rights licences to protect their individual positions and their key assets in the event of insolvency.

Buying a Business

For a client who had fallen out with his business partner and was in the process of paying £200,000 to buy him out I showed him how to pay nothing.

Selling a Business

I sold a client's internet business. The business had little track record and its future profitability was uncertain, we used the discounted cash flow model to convince potential purchasers of the worth of the business and hence maximised its realisable value.

Business Finance

I arranged a confidential factoring facility for a client that wished to grow his business and take substantial profits to increase his lifestyle.

Business Restructuring

For a client with substantial maintenance contracts but loss making sales we split the business in two protecting the key assets and isolating the underperforming assets.

Insolvency

A client owed a bank £14,000,000 via directors' personal guarantees, I successfully negotiated a payment of £15,000 to settle this thereby avoiding bankruptcy or IVA.

Company Secretarial

For a cash strapped client I act on a retainer as Company Secretary, this ensures full statutory compliance and gives the client fuller access to business advice.

Non Executive Directorships

I acted as a non-executive Finance Director for a construction company where the Directors had been disqualified from acting following an earlier insolvency. After an application to Court we obtained leave for the Directors to act provided a Chartered Accountant was on the Board. I acted until the period of disqualification was over.

Business Regulation

A building client was unaware of the special VAT regulations for work to properties where there has been a change of planning use. I set up the scheme which resulted in an enhanced profit margin for the builder.
